GENERAL TERMS & CONDITIONS

1. Our offer is effected on the basis of information provided by the principal or by other persons aut-
horised to do so. We cannot assume any liability for the accuracy and completeness of the relevant

information. Errors as well as prior sale and/or lease remain excepted.
2. The brokerage agreement with us comes into existence either by written agreement or by our
brokerage services being utilised on the basis of the property brochure and the terms and conditions
thereof.
3. Our offers are intended exclusively for the recipient and must be treated in confidence. Should
information be transferred to third parties without our consent, the recipient shall be required to pay

the usual local or agreed commission if the third party concludes the transaction. This shall not prec-
lude any further claims for damages on our part.

4. We shall also be entitled to act on behalf of the other contracting party on a commission basis.
5. Our claim for commission will not be affected by another transaction coming into existence rather
than that originally intended (e.g. purchase instead of lease or vice versa, acquisition in a foreclosure
auction, pro-vided that we have provided documents regarding the valuation of the property [e.g.
court appraisal] instead of negotiated purchase), insofar as the commercial outcome does not differ
materially from the conditions of our offer.
6. The commission is earned and payable when an agreement has been duly and formally entered
into or an equivalent transaction has been concluded in connection with the brokerage activities

performed by the estate agency. The contracting partner is to notify the estate agent of the conditi-
ons of acquisition or use.

7. Any rights of retention and setoff in relation to the commission receivable shall be excluded unless
the offsettable claim has been legally stipulated.
8. If the recipient is already aware of the property on offer, then we must be informed accordingly
in writing without delay, i.e. at the latest within three days of receipt of our offer. In the event of a
contract conclusion, the amounts stated in the respective offers shall be charged as a commission
(see clause 1).
9. The place of performance and jurisdiction shall be the registered domicile of the estate agent, to the extent
this is permissible under statute law.
10. In the event that any of the above-mentioned provisions should be or become invalid, this shall
not affect the validity of the remaining provisions hereof. The invalid provision is to be replaced by

an arrangement adopted by the parties that best approximates the commercial interests of the con-
tracting parties and does not conflict with the terms and conditions of the contractual agreement as a

whole.
11. In accordance with statutory requirements, we are obliged to inform you independently of
our participation in an alternative dispute settlement procedure that the European Commission
has set up an on-line dispute resolution platform (OS) for the out-of-court dispute resolution
of consumer disputes. The platform can be found at http: /ec.europa.eu/consumers/odr/.
Engel & Völkers will not participate in a dispute resolution procedure before a consumer issuing authority within the meaning of the VSBG and is not obliged to do so.
